Terms of Sale

1. Scope

These Terms of Sale (the "ToS") apply to all license agreements concluded between OPIIM SARL ("OPIIM") and any legal entity (the "Customer") subscribing to the PimsLead platform. They prevail over any contradictory document of the Customer, unless expressly accepted in writing by OPIIM.

The PimsLead platform is intended exclusively for professional customers (B2B). It is not available to consumers.

2. Service

OPIIM provides the Customer with the PimsLead platform under a SaaS model: a backoffice web application for administrators and a mobile application for the Customer's end users. The exact perimeter (number of licenses, duration, optional modules, customization of frameworks and scenarios) is defined in the commercial order or specific agreement.

3. Licenses and Quota

The license is granted for a maximum number of named end users (the "Licenses"), broken down where appropriate by department. The number of access codes generated by the Customer's administrators may not exceed the contracted quota. Access codes are personal and may not be transferred between individuals.

The Customer may, at any time during the contract, request an upgrade of the quota; the price adjustment will be agreed in writing.

4. Pricing and Invoicing

Prices are stated in euros, excluding VAT. Initial billing is performed manually by OPIIM at the start of the contract; renewals follow the cadence agreed in the order (annual by default). Any additional service (custom scenarios, additional frameworks, dedicated training) is invoiced separately according to a quote.

Invoices are payable within thirty (30) days of issuance. Any delay automatically triggers default interest at three times the legal interest rate and a fixed indemnity for recovery costs of forty (40) euros, in accordance with French law.

5. Term and Renewal

The contract is concluded for the term specified in the order (typically twelve months). It is renewed by tacit agreement for successive periods of the same duration, unless terminated by either party by registered letter with acknowledgment of receipt at least three (3) months before the end of the current term.

6. Customer Obligations

The Customer undertakes to:

  • Designate at least one organization administrator and ensure proper governance of administrative roles.
  • Distribute access codes only to individuals authorized to use the Platform within their organization.
  • Maintain, exclusively under its own responsibility, the mapping between access codes and the identity of its employees.
  • Inform its employees of the conditions of use of the Platform and of the applicable Privacy Policy.

7. Service Levels

OPIIM strives to ensure availability of the Platform during business hours of working days (CET). A specific Service Level Agreement (SLA) may be signed as an annex to the order for customers requesting reinforced commitments.

8. Liability

OPIIM's liability under the contract is capped at the amount paid by the Customer over the twelve (12) months preceding the event giving rise to the claim. OPIIM shall not be liable for indirect damages (loss of revenue, loss of opportunity, loss of data, reputational harm).

The above caps do not apply in cases of willful misconduct, gross negligence, breach of personal data obligations, or any liability that cannot be limited under applicable law.

9. Confidentiality

Each party undertakes to keep confidential the information exchanged within the framework of the contract for a period of five (5) years from its disclosure, excluding information that is publicly known, lawfully obtained from a third party, or required to be disclosed by law.

10. Personal Data

The processing of personal data is governed by a data processing agreement (DPA) signed between the parties, in compliance with the GDPR. OPIIM acts as a data processor on behalf of the Customer, except for administrator data, which is processed under its own responsibility.

11. Force Majeure

Neither party may be held liable for non-performance resulting from a force majeure event within the meaning of Article 1218 of the French Civil Code.

12. Governing Law and Jurisdiction

These ToS are governed by French law. Any dispute will be submitted to the exclusive jurisdiction of the commercial courts of the registered office of OPIIM, even in case of multiple defendants or warranty claim.
